Nature of this site
This site describes our transactional funding services and lets you contact the funding desk. Nothing on it is an offer or commitment to fund any transaction, a guarantee of approval, pricing or timing, or an agreement of any kind. Every transaction is subject to underwriting, verification of the parties and the end buyer’s funds, and a written funding agreement signed by Lonsdaleite Capital. Descriptions of how a double closing works are general and may not reflect the requirements of a particular state, title company or transaction. See our Disclosures.
Eligibility
Our services are provided to businesses and to individuals acting for business or investment purposes. You must be at least 18 years old and able to enter into binding contracts to use the forms on this site.
Submissions
- You are responsible for the accuracy and completeness of everything you submit, including contracts, prices, dates and the identity of the parties, and you confirm you are entitled to share it with us.
- We may decline any submission, at any stage and for any reason, and we may ask for additional information or documents before making a decision.
- We treat transaction details as confidential and use them as described in our Privacy Policy. Submitting a deal does not create a fiduciary, agency or partnership relationship.
- Wire and closing instructions are exchanged and confirmed directly with the title company or closing attorney on the file, never through unverified channels.
- Do not upload material you do not have the right to share, or material that contains malicious code.
Intellectual property
The site, its design, text, graphics and the Lonsdaleite Capital name and mark are owned by Lonsdaleite Capital or its licensors and are protected by copyright, trademark and other laws. You may view and print pages for your own business use in evaluating our services. Any other use, including copying, republishing or creating derivative works, requires our prior written consent.
Acceptable use
You agree not to use the site to submit false or misleading information; to impersonate any person or entity; to interfere with the operation or security of the site; to scrape, crawl or harvest content or data except as permitted by standard search-engine indexing; or to violate any applicable law.
Disclaimers
The site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Content on this site is for general information only and is not legal, tax, accounting or investment advice. Consult your own advisers about your transaction. We do not warrant that the site will be uninterrupted, error-free or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, Lonsdaleite Capital and its owners, employees and agents will not be liable for any indirect, incidental, consequential, special or punitive damages, or for lost profits, lost opportunities or lost data, arising out of or relating to your use of the site or your reliance on its content, even if advised of the possibility of such damages. Our total liability for any claim relating to the site will not exceed one hundred U.S. dollars. This section does not limit liability that cannot be limited under applicable law, and it does not apply to obligations under a signed funding agreement, which are governed by that agreement.
Indemnification
You agree to indemnify and hold harmless Lonsdaleite Capital and its owners, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising out of your breach of these terms, your submissions, or your violation of any law or third-party right.
Governing law
These terms are governed by the laws of the state in which Lonsdaleite Capital is organized, without regard to its conflict-of-law rules. Any dispute relating to the site will be brought exclusively in the state or federal courts located in that state, and you consent to their jurisdiction. Funding agreements contain their own governing-law and dispute provisions.
General
We may update these terms at any time by posting a revised version with a new effective date; continued use of the site after that date is acceptance of the revised terms. If any provision is held unenforceable, the remainder will continue in effect. Our failure to enforce a provision is not a waiver. These terms, together with the Privacy Policy, Cookie Policy and Disclosures, are the entire agreement between you and Lonsdaleite Capital regarding use of the site.
